Financial institutions providing corporate trust and other services to the capital markets seek Adam’s representation on corporate debt, structured finance, and other debt offerings - from negotiating and closing new debt offerings to counseling clients involved in disputes or pursuing default remedies.
Adam Smith is a member of the Finance Group. Adam advises financial institutions on a wide variety of capital markets transactions, with a focus on corporate debt, structured finance, and other debt offerings. His practice includes the representation of corporate trust clients in CLOs and CRE CLOs, ABS, project finance, loan agency, public-private partnerships, high-yield bonds, and other corporate debt issuances. He has extensive experience counseling clients in deal disputes, CDO liquidations, and general deal administration, including litigation and bankruptcy issues. Adam has advised clients on the Uniform Commercial Code (including the foreclosure of assets), Trust Indenture Act, federal securities laws, and issues pertaining to the Dodd–Frank Act and related federal regulations.
Adam received his J.D., cum laude, from Washington and Lee University in 2005 and his B.A. in economics with a minor in Spanish from Brigham Young University in 2002. Adam is admitted to practice in North Carolina.
