Lee Rimler is a member of the Corporate & Business Transactions Team. Lee has a broad-ranging corporate practice, focused primarily on mergers and acquisitions, private equity transactions and tax matters.
Lee represents public and private companies and investment funds in connection with negotiated acquisitions and dispositions in both distressed and traditional settings, including mergers, leveraged buyouts, recapitalizations, going-private transactions and the purchase and sale of securities, assets and business units.
Lee represents private equity sponsors in structuring acquisition and recapitalization transactions, as well as in acquisitions and dispositions involving their portfolio companies. He works extensively in structuring and forming limited liability companies and other alternative entities for use in private equity transactions, joint ventures and other complex business arrangements.
Additionally, Lee counsels management teams in structuring their “rollover equity” and forward-looking incentive compensation arrangements. He has also represented several founders in the sale and disposition of their private companies to private equity sponsors.
Lee received his J.D. from the College of William and Mary and holds an M.S. in taxation and a B.S. in business administration with an accounting concentration. He previously worked as a CPA focusing on tax matters for two Big Four accounting firms.
