We represent academic medical centers (AMCs) on legal, compliance, operational and reimbursement issues, including:
- representation of a preeminent academic health system in Georgia in the development and execution of strategic alliances with other health systems;
- development of a comprehensive compliance program for a preeminent academic health system in Tennessee;
- preparation of academic affiliation agreements for numerous entities across the country;
- advice regarding graduate medical education funding and related issues;
- counsel regarding corporate transactions, including mergers, strategic alliances, affiliations, joint operating agreements and joint ventures;
- review and implementation of operational and clinical agreements to ensure compliance with applicable federal and state fraud and abuse laws (including the Stark Law, the Anti-Kickback Statute and the Civil Monetary Penalties Law);
- development of residency supervision and staffing agreements;
- performance of IRB compliance reviews;
- advice regarding intellectual property matters and patents for universities across the country;
- representation of teaching hospitals in transactions requiring state attorney general review;
- representation of entities in conversions from nonprofit to for-profit status, and vice versa; and
- representation of nonprofit hospitals in taxable and tax-exempt financing.
