- Aircraft Transactions — Closed numerous EETC aircraft and engine financings representing monoline insurance companies and represented multiple trustees in connection with aircraft under lease to airlines in Chapter 11 bankruptcy proceedings.
- Automobile Loans and Installment Sale Contracts — Currently represent U.S. finance subsidiary of a global automobile manufacturer in issuances of registered securitizations of auto loans. Closed more than 100 transactions totaling in excess of $29 billion representing AAA-rated monoline insurers and other credit enhancers, issuing entities (including statutory trusts, common-law trusts and partnerships), sellers, sponsors and various investors.
- CDO/CBO/CLO Transactions — Closed numerous transactions representing investors, trustees, collateral agents, collateral administrators, credit enhancers, swap counterparties and equity investors; represent fund investing in warehouse equity.
- Commercial Mortgages and CMBS Transactions — Closed numerous transactions totaling in billions representing lenders, borrowers, trustees and servicers in all aspects of commercial mortgage lending, securitization and administration.
- Complex Derivatives Products – Closed numerous transactions involving equity derivatives products, including principal protected notes linked to hedge fund portfolios, total return swaps on static and dynamic portfolios, equity linked options and prepaid variable forward transactions.
- Conduit Transactions — Closed numerous transactions totaling in excess of $9 billion representing various clients, including credit enhancers, collateral agents, originators, issuing and paying agents and conduits.
- Credit Card Receivables — Closed more than 38 transactions totaling in excess of $15.5 billion representing borrowers/issuers, credit enhancers, commercial paper conduits, placement agents and investors; since 1989, represented major credit company in its offshore “future flow” transactions originated by its members in its Latin America, Europe, Central Europe, Middle East and Africa and Asia Pacific Regions.
- Home Equity Loan Transactions — Closed over 20 transactions totaling in excess of $5 billion representing issuers, trustees and credit enhancers.
- Insurance Premium Finance — Closed $250 million insurance premium loan securitization representing the seller/servicer.
- Manufactured Housing Loans — Closed several transactions totaling more than $2 billion representing credit enhancers.
- Residential Mortgage Loans and RMBS Transactions (including reverse mortgages) — Extensive experience in countless transactions, including private placements, public offerings and shelf registration statements, representing nearly every market participant in the industry, including originators, sponsors, investors, placement agents, trustees, servicers, master servicers, rating agencies, monoline insurance companies and other credit enhancers, on transactions with REMICs, senior/subordinate structures, “wrap” or "partial guaranty" credit support from monoline insurers, and hybrid structures with swaps, caps, guaranties, overcollateralization, excess spread and reserve funds.
- Whole Loan Transactions — Represented purchasers and sellers of residential mortgage loans in numerous whole loan transactions and financings, including repo financings having Reg. AB compliant reps and warranties, and innovative financing characteristics.
- Restructurings and Workouts of Structured Transactions — Represented investors, counterparties and related market participants in workouts of multiple asset-backed transactions, including CDOs, CDS and related derivative transactions and other debt instruments.
- Trade Receivables Transactions — Closed numerous transactions totaling over $300 million representing sellers and conduit issuers.
