Irina Braude focuses her practice on technology transactions and data privacy matters for clients from startups to Fortune 100 companies. Irina drafts, negotiates, and advises on commercial contracts related to technology and data licensing, IT outsourcing, software-as-a service (SaaS), cloud services, and brand marketing and advertising.
She advises companies on a range of data privacy and security compliance issues governed by global privacy and data security laws, including the U.S. state privacy laws and the EU’s General Data Protection Regulation (GDPR). She counsels clients on data governance programs, issues related to data collection, processing, and data transfer, and provides advice on how privacy and data security laws affect business operations.
Irina conducts technology, privacy, and IP-related due diligence and counsels clients in M&A, financings, and other corporate transactions.
Irina previously served as vice president and associate general counsel at Carter’s Inc./OshKosh B’Gosh, where she was responsible for providing corporate, IP, transactional, and regulatory support to all business units and advising the senior executive team. While at Carter’s, Irina drafted a broad range of domestic and international commercial agreements, managed privacy compliance and IP portfolio and strategy. She was also responsible for public company reporting and corporate governance matters.
Before working at Carter’s, Irina worked for an international law firm in Boston, where she advised clients on corporate, intellectual property and privacy matters.
